Shortlist Pass is a business management and customer engagement platform designed for local businesses. Our Services enable:
For Businesses: Tools to manage customer relationships, process orders, manage events and schedules, communicate with customers through AI-powered chat, and accept payments.
For Customers: The ability to discover local businesses, place orders, communicate with businesses, schedule pickups or deliveries, and make payments through our platform.
Shortlist Pass acts as an intermediary platform connecting customers with local businesses. We do not directly provide the products or services offered by businesses on our platform.
To access certain features of the Services, you may be required to create an account. When you create an account, you agree to:
You are solely responsible for maintaining the confidentiality of your account and password. You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or illegal purposes.
When you give us your mobile number and agree to receive text messages, you consent to receive SMS from THE SHORTLISTPASS CO LLC. These messages may include:
Messages may relate to the communities and businesses you use on Shortlist, and are sent by us rather than by them. Giving us your phone number on its own is not consent to receive text messages — we text you only where you have agreed to it.
You acknowledge and agree that message and data rates may apply based on your mobile carrier's plan. Message frequency varies depending on your order activity and account usage. Consent to receive SMS messages is not a condition of purchasing any goods or services, but opting out may limit our ability to provide timely order updates.
Opt-Out: You may opt out of SMS notifications at any time by replying STOP to any message. You may also contact us at hello@shortlistpass.com to manage your communication preferences. After you opt out, you will receive a confirmation message, and no further messages will be sent unless you opt back in.

Order Accuracy: You are responsible for ensuring the accuracy of your order, including item selection, quantities, special instructions, and pickup or delivery details.
Payment Authorization: By submitting an order, you authorize us to charge your selected payment method for the total amount, including any applicable taxes, tips, and fees.
Payment Processing: We use third-party payment processors to handle transactions. Your payment information is subject to the privacy policies and terms of our payment processors.
Order Fulfillment: Orders are fulfilled by the business you selected. Shortlist Pass is not responsible for the quality, preparation, or fulfillment of products or services provided by businesses on our platform.
Pricing: Prices displayed on our platform are set by individual businesses and are subject to change. We are not responsible for pricing errors made by businesses.
Refund and cancellation policies are determined by individual businesses. If you have an issue with an order, you should contact the business directly through our platform or by the contact information provided. Shortlist Pass may assist in facilitating communication between you and the business but is not obligated to provide refunds for orders placed through the platform.
In cases of payment processing errors or technical issues caused by our platform, we will work with you to resolve the issue and provide appropriate remedies.
You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our Services. Prohibited conduct includes, but is not limited to:

The Services and all content, features, and functionality are owned by Shortlist Pass and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
You retain ownership of any content you submit to the Services, but you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide the Services.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content on the platform, including information provided by businesses.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHORTLIST PASS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Shortlist Pass and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We may also modify these Terms from time to time. When we make material changes to these Terms, we will update the "Effective Date" at the top of this page and may provide additional notice through the Services or via email.
Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us at hello@shortlistpass.com.
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You agree to waive any right to a jury trial or to participate in a class action lawsuit. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.
These Terms constitute the entire agreement between you and Shortlist Pass regarding the Services and supersede all prior agreements and understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer these Terms or your account without our prior written consent.
